Terms of service
The agreement between you and Atesen Software for the use of Unapprove. Last updated 2026-09-21. These terms cover the service at https://unapprove.atesensoftware.com.
These terms are a working draft written by the operator, not legal advice, and they will be reviewed by a lawyer before the paid launch. Where a clause is still open it is marked as a placeholder below.
1. Who these terms are with
The service is provided by Samet Ateşen, trading as Atesen Software, Sakarya, Türkiye ("we", "us"). "You" means the person using the service and, if you are using it for an employer or a client, that organisation as well — and you confirm you are allowed to act for them. By connecting an organisation you accept these terms.
2. What the service does
Unapprove acts on the documents you select, in the accounting organisation you connect, and only when you tell it to. For each document you have chosen it can:
- create a draft copy of an approved sales invoice or bill, carry its attachments across, void the original, and give the copy the original document number; or
- void the original document without creating a copy.
It works with the Xero API using the connection you authorise, and it does nothing outside the permissions you grant. It writes nothing until you have seen the preview and typed the confirmation phrase.
3. Your selection and your confirmation
You choose the documents and you are responsible for that choice. Before any run, the service shows you a preview listing every selected document and what will happen to it, and you must type an exact confirmation phrase containing the number of documents. Doing so is your instruction to proceed.
You are responsible for checking the preview, for downloading the CSV backup we produce before the run, and for making sure the change is appropriate for the books you are working in — including any approval, lock date or audit policy your organisation or your client has.
4. Voiding is permanent
A void cannot be undone. Once a document is voided in the accounting ledger, neither we nor you can reverse it; the ledger keeps the voided document as a permanent record. This is a property of the accounting system, not of our software. The draft copy we create beforehand is a new, separate document — it is not a restoration of the original.
By typing the confirmation phrase you acknowledge that you understand this and accept it for the documents listed in that preview.
5. Your account and your conduct
- Keep your sign-in secure, and disconnect organisations you no longer work with.
- Do not use the service to break the law, to breach your agreement with the accounting software vendor, or to damage records you have no authority over.
- Do not try to circumvent limits, probe other customers' data, or run automated load against the service beyond normal use.
6. Subscriptions
- The monthly plan costs $15 per month for each connected organisation, charged in advance.
- It renews automatically each month until you cancel.
- You can cancel at any time. Cancelling stops the next renewal; the plan keeps working until the end of the period you have already paid for. We do not refund part of a period that has begun.
- If a payment fails and is not fixed, jobs stop and we disconnect the organisation 7 days later. Your documents in the accounting system are not affected by that.
- We may change prices with at least 30 days' notice by email. The new price applies from your next renewal, and you may cancel before it.
7. The Clean-up Pass
- The pass costs $29 once and is not a subscription; it does not renew.
- It is valid for 7 days from activation and covers up to 500 processed documents in that window.
- Unused days and unused documents expire at the end of the 7 days and do not carry over.
- Refund: if you have not processed a single document, you may ask for a full refund within 7 days of purchase and we will give it. Once any document has been processed, the pass is not refundable, because the work it paid for has been done and cannot be undone.
8. Free trial
The free trial allows unlimited previews and up to 3 processed documents. It is provided as it is, with no commitment on either side, and we may change or end it at any time.
9. Availability
We aim to keep the service available but we do not promise any particular uptime. We may take it down for maintenance, and we may stop a run or switch off job processing entirely if we believe that is needed to protect customer data. The accounting API we depend on has its own rate limits and outages, and a job may pause or fail because of them.
10. No warranty
The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that it will produce a particular accounting outcome. Nothing here excludes a warranty that cannot be excluded under the law that applies to you.
11. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or for lost profit, lost revenue, lost data or lost goodwill, however caused.
Our total liability to you, for all claims taken together, is limited to the total fees you actually paid us for the service in the 12 months before the event that gave rise to the claim. If you have paid us nothing — for example on the free trial — our total liability is limited to zero, and your remedy is to stop using the service.
Nothing in these terms limits liability for fraud, or for anything else that cannot be limited under the law that applies to you.
12. Your data
What we collect, why, how long we keep it and how to have it deleted is set out in the privacy policy, which forms part of these terms.
13. Termination
- By you: disconnect your organisations and stop using the service, at any time, for any reason. Cancel the subscription in your billing settings or by emailing us.
- By us: we may suspend or terminate your access if you breach these terms, if you misuse the service, if payment is not made, or if we are required to by the accounting software vendor or by law. Where it is reasonable to do so, we will warn you first and give you time to fix the problem.
- On termination: jobs stop, tokens are deleted, and the retention periods in the privacy policy run their course. Fees already paid for a period that has begun are not refunded, except where clause 7 says otherwise.
- Clauses 4, 10, 11 and 15 survive termination.
14. Changes to these terms
We may update these terms. The "last updated" date above changes, and for a material change we will email you before it takes effect. Continuing to use the service after that counts as acceptance. If you do not accept, cancel and stop using it.
15. Governing law and jurisdiction

16. General
- These terms and the privacy policy are the whole agreement between us about the service.
- If a clause turns out to be unenforceable, the rest stays in force.
- Not enforcing a clause once does not waive it.
- You may not transfer your rights under these terms without our written consent. We may transfer ours if the business is sold, and will tell you.
- We are independent. We are not affiliated with, endorsed by, or certified by any accounting software vendor, and nothing in these terms makes us a partner or agent of one.
